These Terms govern your use of the Site only. If you subscribe to or use the AmberOS platform or any related services, your use is governed by the Cloud Service Agreement presented at the time of purchase.

The Site provides information about Amber, our products, and our services. It is intended for business audiences evaluating or learning about our platform.

The Site is not tailored to comply with industry-specific regulations such as HIPAA or FISMA. If your use of the Site would subject you to such regulations, you should not use the Site.

3. Intellectual Property

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AMBER AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY.

9. Indemnification

You agree to indemnify, defend, and hold harmless Amber and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your use of the Site.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Site shall first be subject to good-faith negotiation for at least thirty (30) days. If the dispute is not resolved through negotiation, it shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware.

Any dispute that proceeds in court rather than arbitration shall be brought exclusively in the state or federal courts located in Wilmington, Delaware. You consent to the jurisdiction of those courts and waive any objection to venue.

Any claim must be brought within one (1) year after the cause of action arises. Arbitration shall be conducted on an individual basis only. Class actions and class arbitrations are not permitted.

11. Modifications

We may update these Terms at any time by posting the revised version on the Site with an updated "Last updated" date. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

We may also modify, suspend, or discontinue the Site (or any part of it) at any time without notice or liability.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Amber regarding your use of the Site. These Terms do not govern your use of the AmberOS platform or any subscription services, which are subject to a separate Cloud Service Agreement.
